NOTICE OF ONTARIO ONE CALL’S 2024 ANNUAL AND SPECIAL MEMBERS’ MEETING

August 15, 2024 – Ontario One Call (OOC) hereby gives notice of an annual and special meeting of the Members under section 6.02 of By-law No. 1.

This meeting is open to OOC Members and non-members (including the public), but attendance for Members and non-members requires advance registration. Non-member attendees are not entitled to vote at this meeting.

Background:

The Board of OOC met on June 20, 2024, and enacted amendments to By-law No. 1 and Schedule 1 to By-law 1. The revisions to By-law 1 and its schedule bring the OOC’s by-laws into compliance with the changes to the Ontario Underground Infrastructure Notification System (OUINS) Act and its regulations, Minister Orders and an updated Memorandum of Understanding (MOU) with the Ministry of Public and Business Services Delivery and Procurement (MPBSDP) which will take effect in late 2024.  In addition, the Board passed a resolution to remove By-law No. 2, which relates to the setting of fees by the Board of OOC, in its entirety to align with the requirements established in the new MOU.  A copy of these by-laws can be found in the Reference Materials section below.

Purpose of meeting

The Board of OOC approved on June 20, 2024, to recommend the following votes (see explanatory notes for details):

1. Amendments of By-Law No. 1 (including Schedule 1 to By-Law No. 1)

2. Removal of By-Law No. 2

3. Election of Directors (excluding any appointed by the Minister as per the Act)

4. Appointment of New Auditor

Please note that the Annual and Special Members’ Meeting will be held both virtually and in person on September 10, 2024 at 1:15pm EDT at Woodbine Banquet Hall, 30 Vice Regent Blvd, Etobicoke, ON. You must register in advance to attend in person or virtually.

If you have already registered for the Conference & Trade Show, access to the Annual and Special Members’ Meeting is included and you don’t need to register again.

Please note, a separate event for Ontario One Call’s Conference & Trade Show will be taking place on September 9 and 10, 2024 at the Woodbine Banquet Hall in Etobicoke. If you wish to attend this separate event in addition to attending the Annual and Special Members’ Meeting please use this separate link to register. The admission fee gives access to the trade show, and all educational sessions, workshops, and networking events.

If you would like to submit a proxy vote for the Annual and Special Members’ Meeting please click here. Members may appoint a person, by means of a proxy, who must be a senior employee of their organization, to act as the Member’s proxyholder, or alternatively may appoint the Chair of the Board of Ontario One Call. The proxy must be submitted at least 48 hours in advance of the start of the annual and special Members’ meeting. 

Please note: only one member of your organization will be allowed to vote, either via the proxy or in person.
